The User agrees that during the term of this Clause and for a period of 5 years following the termination of this Clause, the User shall not, directly or indirectly, solicit or attempt to solicit any customer or client of the Company for the purpose of providing travel services that are the same as or similar to those provided by the Company.
Non-Disclosure. The User agrees that during the term of this Clause and thereafter, the User shall keep confidential all trade secrets, confidential information, and other proprietary information of the Company, including but not limited to information about the Company's operations, Suppliers, and customers.
Acknowledgments. The User acknowledges and agrees that the restrictions contained in this Clause are reasonable and necessary to protect the Company's legitimate business interests, that the User has received adequate consideration for agreeing to these restrictions, and that any breach of this Clause will result in irreparable harm to the Company.
Governing Law. This Clause shall be governed by and construed in accordance with the laws of California, United States.
Jurisdiction. Any legal action arising out of or relating to this Clause shall be brought in the courts of California, United States.
Severability. If any provision of this Clause is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected.
